Terms and Conditions<\/strong><\/p>

1. Scope<\/strong><\/p>

The following Terms and Conditions apply to all orders placed with us.<\/p>

Our range of products and services is aimed exclusively at public authorities or businesses within the meaning of Section 14(1) of the German Civil Code (BGB), i.e. natural and legal persons or partnerships with legal capacity who enter into a business relationship with us in the course of their commercial or self-employed professional activities.<\/p>

We do not recognise any terms and conditions that conflict with or deviate from our terms and conditions.\u00a0<\/p>

2. Contractual partners, online catalogue<\/strong><\/p>

The contract of sale is concluded with Pro Factory Werbemittel GmbH & Co. KG.<\/p>

The presentation of the products in the online shop does not constitute a legally binding offer, but rather a non-binding online catalogue.\u00a0<\/p>

The point at which the contract with us comes into effect depends on the payment method you have chosen:<\/p>

We will store the text of the contract and send you the order details and our terms and conditions in writing. For security reasons, the text of the contract is no longer accessible via the internet.<\/p>

4. Terms of delivery<\/strong><\/p>

In addition to the product prices quoted, delivery charges will apply. Due to the highly bespoke nature of our products, it is not possible to provide a reasonable estimate of the delivery charges in advance. You will be informed of the actual costs on a case-by-case basis.<\/p>

5. Payment<\/strong><\/p>

We generally offer the following payment methods:<\/p>

Payment in advance <\/strong>
If you select \u2018payment in advance\u2019 as your payment method, we will provide you with our bank details in a separate email and dispatch the goods once payment has been received.<\/p>

Invoice<\/strong>
You pay the invoice amount by bank transfer to our bank account upon receipt of the goods and the invoice. We reserve the right to offer purchase on account only following a successful credit check.<\/p>

6. Right of withdrawal<\/strong><\/p>

Consumers are entitled to the statutory right of withdrawal, as described in the withdrawal policy. Businesses are not granted a voluntary right of withdrawal.<\/p>

7. Retention of title<\/strong><\/p>

The goods remain our property until full payment has been made.
The following also applies to business customers: We reserve title to the goods until all claims arising from an ongoing business relationship have been settled in full. You may resell the goods subject to retention of title in the ordinary course of business; you hereby assign to us in advance all claims arising from such resale \u2013 irrespective of whether the goods subject to retention of title have been combined or mixed with a new item \u2013 in the amount of the invoice sum, and we accept this assignment. You remain authorised to collect the claims; however, we may also collect the claims ourselves if you fail to meet your payment obligations.<\/p>

8. Damage caused during transport<\/strong><\/p>

For business customers, the following applies: The risk of accidental loss and accidental deterioration passes to you as soon as we have handed the goods over to the forwarding agent, the carrier or any other person or organisation designated to carry out the shipment. In transactions between traders, the obligation to inspect and give notice of defects as set out in Section 377 of the German Commercial Code (HGB) applies. If you fail to give notice as stipulated therein, the goods shall be deemed to have been accepted, unless the defect was not apparent upon inspection. This shall not apply if we have fraudulently concealed a defect.<\/p>

9. Warranty and Guarantees<\/strong><\/p>

The statutory liability for defects applies. Information on any additional guarantees that may apply, and their exact terms and conditions, can be found on the relevant product page and on specific information pages within the online shop.<\/p>

10. Liability<\/strong><\/p>

We shall always bear unlimited liability for claims arising from damage caused by us, our legal representatives or our vicarious agents
\u2022 in the event of injury to life, limb or health
\u2022 in the event of a breach of duty caused by wilful misconduct or gross negligence
\u2022 in the case of warranty undertakings, where agreed, or
\u2022 insofar as the scope of the Product Liability Act applies.
In the event of a breach of material contractual obligations, the fulfilment of which is essential for the proper performance of the contract and on the observance of which the other party may reasonably rely, (cardinal obligations) due to slight negligence on our part, or on the part of our legal representatives or vicarious agents, liability shall be limited in amount to the damage foreseeable at the time the contract was concluded, the occurrence of which must typically be expected.
Furthermore, claims for damages are excluded.<\/p>

11. Final Provisions<\/strong><\/p>

If you are a business owner, German law shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.<\/p>

If you are a trader within the meaning of the German Commercial Code, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from contractual relationships between us and you shall be our registered office.<\/p>
